Terms of Service and End User License Agreement
These terms govern your use of the Ideate website, desktop app, and related services.

1. Agreement to terms
These Terms of Service and End User License Agreement govern your use of Ideate, including the Ideate desktop app, ideatehome.com, and related services.
By downloading, installing, accessing, purchasing, or using Ideate, you agree to these terms.
If you use Ideate for an organization, you represent that you have authority to accept these terms for that organization.
2. Software license
Ideate LLC grants you a limited, revocable, non-exclusive, non-transferable license to install and use the Ideate desktop app for personal or internal business purposes, subject to these terms and any plan limits that apply.
You may not copy, resell, sublicense, rent, distribute, reverse engineer, decompile, attempt to discover source code, bypass access controls, bypass licensing controls, or modify Ideate except where these terms or applicable law allow it.
Ideate is licensed, not sold. These terms do not transfer ownership of Ideate to you.
3. Accounts and eligibility
Ideate may require an account or sign-in for access, paid features, AI usage, usage limits, updates, billing, licensing, or support.
You are responsible for keeping your account, email, device, passwords, and credentials secure. You are responsible for activity under your account.
You must be at least 13 years old to use Ideate. If you are under the age of majority where you live, you must have permission from a parent or legal guardian.
4. Local data and user responsibility
Ideate is a local-first desktop app. Workspace data is stored primarily on your device, including ideas, cards, canvases, attachments, chats, Workbench records, app settings, exports, and related local files.
Ideate is not a cloud backup service. You are responsible for your device, local files, exports, backups, storage, deletion choices, and recovery practices.
Ideate is not responsible for local data loss caused by user deletion, local device failure, corrupted files, third-party services, unsupported modifications, misuse, malware, operating system issues, storage failure, or failure to keep appropriate backups.
5. Plans, subscriptions, billing, and taxes
Ideate may offer free and paid plans. The website may describe plans such as Free, Starter, Personal, and Plus.
Paid subscriptions may renew automatically until cancelled. Plan features, pricing, billing intervals, renewal terms, taxes, payment terms, and provider-specific rules may be shown on the website, at checkout, or in the billing flow.
Payments, taxes, invoices, subscription management, refunds, chargebacks, fraud checks, and licensing may be handled by third-party payment, billing, merchant-of-record, app store, or licensing providers. Their terms and policies may also apply.
If payment fails, is refunded, is charged back, is cancelled, or is suspected of fraud or abuse, Ideate may downgrade, limit, suspend, or terminate paid access.
6. Cancellations and refunds
You may cancel a paid subscription through the applicable billing or account flow. Cancellation stops future renewal unless the billing provider states otherwise.
Cancellation does not automatically refund charges that already occurred. Refund requests are handled under the Refund Policy and any rules that apply through the relevant payment, merchant-of-record, billing, app store, or licensing provider.
7. Acceptable use
You agree not to use Ideate to break the law or help others break the law.
You agree not to use Ideate to infringe intellectual property, privacy, publicity, contractual, or other rights.
You agree not to use Ideate to harass, abuse, threaten, deceive, impersonate, defraud, or harm others.
You agree not to use Ideate to create, distribute, or assist malware, spyware, credential theft, phishing, unauthorized access, or security abuse.
You agree not to use Ideate to send spam, operate deceptive activity, abuse communications, or abuse support channels.
You agree not to scrape, automate, overload, probe, or access systems without authorization.
You agree not to bypass security, authentication, usage limits, payment controls, licensing controls, rate limits, or technical restrictions.
You agree not to resell, share, transfer, or commercially exploit accounts or paid access without permission.
You agree not to use Ideate in a way that violates third-party terms, policies, rights, or applicable law.
8. AI features and Workmate
Ideate may include AI-assisted features such as Workmate, dictation, transcription, model selection, chat, file analysis, image analysis, prompt processing, workspace assistance, and related tools.
When you use AI-connected features, selected prompts, messages, files, images, audio, transcription content, workspace context, tool context, and request metadata may be sent through Ideate systems to third-party AI or transcription providers.
AI outputs may be inaccurate, incomplete, outdated, offensive, unsuitable, or similar to outputs received by other users. You are responsible for reviewing AI outputs before relying on them, publishing them, using them in work, using them in code, or making decisions based on them.
AI features are not a substitute for professional legal, financial, medical, security, tax, engineering, or other expert advice.
9. Workbench, Local Codex, code, files, and local tools
Workbench and Local Codex features can work with local files, folders, projects, commands, code, prompts, outputs, commits, branches, pushes, pull requests, and development workflows when you link folders, authorize actions, or use related features.
These features may read, write, modify, create, delete, review, commit, push, or otherwise affect files and projects depending on how you use them.
You are responsible for reviewing file access, file changes, commands, approvals, backups, commits, branches, pushes, pull requests, deployments, and any other effects of using Workbench, Local Codex, or related tools.
Do not connect sensitive projects, credentials, secrets, production systems, private keys, or critical files unless you understand and accept the risk.
10. Browser/resource tiles and third-party services
Browser and resource tiles are user-directed features that may load third-party websites or services directly.
Third-party sites and services are governed by their own terms, privacy policies, payment terms, and account rules. Ideate is not responsible for third-party sites, accounts, content, payments, policies, data practices, errors, outages, or security issues.
11. Updates, changes, and availability
Ideate may check for updates and use update, download, release, or licensing infrastructure to provide new versions or verify access.
Ideate LLC may change, limit, suspend, remove, replace, or discontinue features, plan details, pricing, supported platforms, integrations, providers, or availability as the product evolves.
We do not guarantee that Ideate, AI features, third-party providers, updates, downloads, cloud services, or integrations will be uninterrupted, error-free, secure, or available at all times.
12. Intellectual property
Ideate, including the app, website, brand, logos, design, software, user interface, documentation, and related materials, is owned by Ideate LLC or its licensors and is protected by intellectual property laws.
These terms do not grant you ownership of Ideate or any Ideate intellectual property.
13. User content
You keep ownership of the ideas, canvases, files, messages, prompts, attachments, exports, and other content you create or provide through Ideate.
You grant Ideate LLC the limited rights needed to operate the product and the features you choose to use, including storing content locally, transmitting selected content to providers for requested cloud-connected features, processing content for AI or transcription features, providing support, checking abuse or security issues, and maintaining the service.
You are responsible for your content and for having the rights needed to store, process, share, export, or submit it through Ideate.
14. AI outputs and content rights
To the extent permitted by applicable law and subject to third-party provider terms, you may use outputs generated through Ideate for your own purposes.
Ideate does not guarantee that AI outputs are unique, protectable, non-infringing, accurate, commercially usable, or suitable for your intended use. Other users may receive similar or identical outputs.
You are responsible for reviewing outputs and determining whether they are appropriate for your use.
15. Feedback
If you send feedback, suggestions, ideas, feature requests, or bug reports, Ideate LLC may use them to improve Ideate without owing compensation, credit, or ownership rights to you.
16. Suspension and termination
You may stop using Ideate at any time.
Ideate LLC may suspend or terminate access to accounts, paid features, cloud services, AI features, licensing, downloads, or support if we believe these terms have been violated, if payment fails, if a chargeback occurs, if fraud or abuse is suspected, if required by law, or if continued access creates legal, security, payment, or operational risk.
Termination does not automatically remove local data from your device. You remain responsible for deleting local files, exports, backups, and app data you control.
17. Disclaimers
Ideate is provided on an as-is and as-available basis, except where applicable law requires otherwise.
Ideate LLC does not promise that Ideate, AI providers, third-party sites, downloads, updates, cloud services, payment providers, licensing providers, or integrations will be uninterrupted, error-free, secure, accurate, or available at all times.
Ideate LLC does not promise that local data, AI outputs, Workbench actions, code changes, files, exports, or third-party services will be free from loss, defects, inaccuracies, vulnerabilities, or unintended effects.
18. Limitation of liability
To the maximum extent permitted by law, Ideate LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, device failure, third-party service issues, security incidents, AI output issues, local file changes, or loss caused by use of Ideate.
To the maximum extent permitted by law, Ideate LLC's total liability for claims related to Ideate will not exceed the amount you paid for Ideate in the 12 months before the claim or 100 U.S. dollars, whichever is greater.
Some jurisdictions do not allow certain disclaimers or limitations. In those cases, these terms limit Ideate LLC's responsibility only to the maximum extent permitted by applicable law.
19. Indemnity
If a claim, loss, or expense arises from your content, your violation of these terms, your misuse of Ideate, your violation of law, or your violation of third-party rights, you agree to indemnify and hold Ideate LLC harmless to the extent permitted by law.
20. Trade controls
You agree to comply with applicable sanctions, export control, and trade laws. You may not use, export, re-export, or provide access to Ideate in violation of those laws.
21. Governing law
These terms are governed by the laws of Wyoming, except where applicable consumer protection laws require otherwise.
22. Changes to these terms
Ideate LLC may update these terms as Ideate changes. If we make material changes, we will update the last updated date and provide notice when appropriate.
Continued use of Ideate after updated terms become effective means you accept the updated terms.
23. General
If any part of these terms is found invalid or unenforceable, the remaining parts will remain in effect.
Ideate LLC may assign these terms as part of a merger, acquisition, financing, reorganization, sale of assets, or transfer of the business.
These terms, together with the Privacy Policy, Refund Policy, checkout terms, and any provider terms that apply, form the agreement governing your use of Ideate.
